1. Agreement to Terms
These Terms of Service ("Terms" or "Legal Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client", "User", or "you"), and Aetherix Technolab Private Limited ("Aetherix", "we", "us", or "our").
By accessing or using our website at aetherixtechnolab.com, engaging our custom software engineering services, executing a Statement of Work (SOW), or signing a Master Services Agreement (MSA), you confirm that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using our website and services.
2. Scope of Services
Aetherix Technolab provides digital engineering, custom software development, mobile application development, artificial intelligence integration, UI/UX product design, cloud architecture, and performance-driven digital marketing solutions (collectively, the "Services").
Specific project deliverables, milestones, technical specifications, timelines, and commercial fees will be detailed in individual Statements of Work (SOWs) or project proposals mutually signed by both parties.
Web & Mobile Development
Custom web applications, Next.js builds, React Native mobile apps, e-commerce portals, and microservices.
AI & Cloud Solutions
Machine learning integrations, LLM workflows, RAG pipelines, AWS/GCP cloud deployments, and DevOps.
3. Intellectual Property Rights & Deliverables
A. Client Ownership of Custom Deliverables:
Upon receipt of full and final payment for agreed project milestones as specified in the applicable Statement of Work, Aetherix assigns and transfers to the Client all exclusive intellectual property rights, copyrights, and source code ownership in custom software, application code, databases, and visual designs specifically engineered for the Client.
B. Aetherix Background IP & Pre-existing Assets:
Aetherix retains ownership of pre-existing software tools, open-source libraries, reusable code components, frameworks, and developer workflows utilized in building the deliverables. Aetherix grants the Client a perpetual, worldwide, non-exclusive, royalty-free license to use such background assets embedded within the deliverables.
Website Content: All content on aetherixtechnolab.com—including trademarks, logos, brand assets, text, graphics, and code—is owned by Aetherix and protected by Indian and international copyright laws.
4. Client Responsibilities
To ensure timely execution of project deliverables, the Client agrees to:
- Provide clear, prompt project requirements, assets, design guidelines, and feedback within agreed timeframes.
- Grant necessary API keys, server credentials, database access, and third-party platform permissions required for development and deployment.
- Approve milestone sign-offs or provide written feedback within five (5) business days of milestone submission.
- Ensure that all materials, media, and data provided to Aetherix do not infringe upon any third-party intellectual property or privacy rights.
5. Payment Terms & Invoicing
Commercial fees, milestone schedules, hourly rates, and invoice payment terms are set forth in the applicable Statement of Work or commercial proposal.
Invoicing: Invoices are issued based on agreed milestone completions or monthly retainer cycles. Invoices are due within 14 calendar days from the date of issuance unless specified otherwise.
Taxes: All fees are exclusive of applicable GST (Goods and Services Tax in India) or international withholding taxes, which shall be charged as applicable.
Late Payments: Overdue invoices may incur a late administrative charge of 1.5% per month on the outstanding balance until paid in full.
6. Confidentiality & Non-Disclosure
Both parties agree to protect all confidential, proprietary, and business sensitive information disclosed during discussions or project execution (including business plans, source code, customer data, and technical specifications) with the same degree of care used for their own confidential data.
Confidential information shall not be disclosed to any third party except to employees, subcontractors, or legal advisors who need to know such information for project execution and are bound by equivalent non-disclosure agreements.
7. Prohibited Uses & Website Conduct
When visiting our website or utilizing our digital infrastructure, you agree NOT to:
- Systematically scrape, mine, or extract data from our website without prior written authorization.
- Attempt to decompile, reverse engineer, or hack any portion of our software or website.
- Introduce malware, viruses, Trojan horses, or harmful code into our digital network.
- Use automated scripts or bots to spam contact forms or generate fraudulent inquiries.
- Disparage, defame, or harm the commercial reputation of Aetherix Technolab.
8. Warranties & Disclaimers
Aetherix warrants that custom software development services will be performed in a professional, workmanlike manner adhering to industry standards.
Except as expressly stated in a signed Statement of Work, our website and public information are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including warranties of merchantability or fitness for a particular purpose.
9. Limitation of Liability
To the maximum extent permitted by law, Aetherix Technolab, its directors, officers, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or business interruption) arising out of or related to your use of our website or services.
Aetherix's maximum aggregate financial liability for any claim arising out of a specific project shall not exceed the total fees paid by the Client to Aetherix under the applicable Statement of Work in the six (6) months preceding the claim.
10. Governing Law & Dispute Resolution
These Terms of Service and any contractual agreements between the Client and Aetherix shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India.
